Terms of Service

Effective date: 19 October 2026Version 1.0Usus, a MARCOMENA brand

These terms govern the use of the Usus website, its demos and the Usus system. A signed proposal, order form or agreement with a Client prevails over these terms where the two differ.

1.About these Terms

These Terms of Service (“Terms”) are an agreement between Naqtat Al-Ta'theer Al-Ra'eda for Advertising Co., trading as MARCOMENA, operator of Usus (“we”, “us”), and the company that uses Usus (the “Client”). By using the website, a demo or the Usus system, or by signing an Order Form, the Client accepts these Terms and the Privacy Policy.

2.Definitions

  • Usus or the System: our integrated AI system, including the AI Employees, the Control Dashboard and related services.
  • AI Employees: AI assistants inside Usus that perform defined roles, such as sales, customer service, follow-up and collections, marketing, finance and management analysis.
  • Control Dashboard: the screen where the Client sees its figures, reviews the AI Employees' work and approves recommendations.
  • Order Form: the signed proposal, quotation or agreement that sets the scope, users, integrations, fees and term.
  • Authorised User: a person the Client allows to use Usus.
  • Client Data: data the Client connects to or provides to Usus.
  • Connected Systems: third-party platforms and software the Client links to Usus.
  • Outputs: replies, content, reports, recommendations and other material Usus produces for the Client.

3.Eligibility

Usus is for businesses only. Each Authorised User must be at least 18 years old and authorised to act for the Client. The Client is responsible for everything done under its account.

4.The service

Usus provides AI Employees and a Control Dashboard working on the Client's data. The modules, channels, integrations, number of users and any usage limits are set in the Order Form. We may improve or change features. We will give reasonable notice before removing a feature the Client relies on.

The demos on our website use fictional companies and sample figures. They show how Usus works and are not a promise of specific results.

5.Onboarding and launch

We agree a launch plan with the Client. The Client provides the access, information and approvals we need on time. Launch dates depend on the Client's cooperation and on third-party steps outside our control, such as WhatsApp Business account verification by Meta or access granted by other platforms.

6.Client responsibilities

  • Give accurate information and keep it up to date.
  • Have a lawful basis for the Client Data it connects, and obtain any consent needed to message its customers, including marketing consent.
  • Follow the rules of the platforms it connects, such as WhatsApp, Meta, Google, TikTok and Snapchat.
  • Review and approve content and actions where the System asks for approval.
  • Appoint at least one administrator and keep login details secure.

7.Approvals and AI outputs

Actions that spend money, change prices, launch campaigns, issue refunds or make commitments to customers are carried out only after the Client approves them, or within rules the Client sets in advance.

Outputs are produced with AI and may contain errors. Recommendations, forecasts and analyses support the Client's decisions. They are not financial, legal, tax or investment advice, and the Client remains responsible for its decisions. Financial reports in Usus are management figures. The Client's final accounts remain the responsibility of its accountant.

8.Connected systems

Connected Systems are provided by third parties under their own terms. We are not responsible for their availability, their policy or API changes, or actions they take on the Client's accounts, such as restrictions or bans. If a Connected System changes, we may need to adjust or pause the related feature.

9.Fees and payment

Fees are set in the Order Form and quoted in Saudi Riyals. Applicable taxes are added where the law requires. Invoices are payable within the period stated in the Order Form. If a payment is overdue, we may suspend the service after giving written notice. We may change fees at renewal with at least 30 days' notice.

Advertising spend paid to platforms, messaging charges from providers such as the WhatsApp Business Platform, and third-party software licences are separate from our fees unless the Order Form says otherwise.

10.Term and renewal

The subscription term is set in the Order Form. Unless the Order Form says otherwise, it renews automatically for the same period unless either party gives written notice at least 30 days before the renewal date. Cancellation and any refunds are governed by the Order Form.

11.Suspension and termination

We may suspend access, in whole or in part, if the Client breaches these Terms, does not pay on time, creates a security risk, or if the law requires it. Either party may terminate for a material breach that is not fixed within 15 days of written notice. When the subscription ends, access stops, outstanding fees become due, and Client Data is exported or deleted as described in the Privacy Policy.

12.Acceptable use

The Client and its Authorised Users must not use Usus to:

  • break any law or regulation;
  • send spam, or messages to people who have not agreed to receive them where consent is required;
  • send misleading, offensive or harassing content, or impersonate others;
  • upload malicious code or content that infringes others' rights;
  • access Usus without authorisation, test its security, reverse engineer it or copy it by automated means;
  • resell or sublicense Usus without our written agreement.

13.Intellectual property

We own Usus, including its software, AI Employee configurations, workflows, templates, dashboards and our trademarks. The Client receives a right to use Usus during the subscription. It receives no other rights.

The Client owns its Client Data and its brand. Subject to payment of fees, the Client may use the Outputs produced for it in its business. We may use general knowledge and skills gained while providing the service. We will not use the Client's confidential information or Client Data outside the service.

14.Confidentiality

Each party will keep the other's non-public information confidential, use it only for the purposes of the agreement, and disclose it only to people who need it and are bound by confidentiality, or where the law requires. This obligation continues after the agreement ends.

15.Data protection

Our handling of personal data is described in the Privacy Policy, which forms part of these Terms. Where we process personal data for the Client, we act as its processor and follow its instructions. A data processing agreement is available on request.

16.Disclaimers

Usus is provided “as is” and “as available”. To the extent the law allows, we give no warranty that it will be uninterrupted or error-free, or that it will achieve particular results such as specific increases in sales, reductions in costs or levels of profit. Rights that cannot be excluded under Saudi law are not affected.

17.Limitation of liability

Neither party is liable for indirect or consequential loss, including loss of profit, revenue or data, even if it was foreseeable. Our total liability under the agreement is limited to the fees the Client paid us in the 12 months before the event that caused the claim. These limits do not apply to fraud, wilful misconduct, gross negligence, or liability that cannot be limited by law.

18.Indemnity

The Client will compensate us for claims and losses arising from its Client Data, its messages to its customers, its breach of these Terms, or its breach of the law or of a Connected System's rules.

19.Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, such as outages of internet, cloud or third-party platforms, natural events or government action. The affected party will limit the impact and resume as soon as it can.

20.Changes to these Terms

We may update these Terms. The new version applies from the effective date shown at the top of this page. We will notify Clients of material changes in advance. Terms agreed in a signed Order Form continue to apply until that Order Form ends.

21.Governing law and disputes

These Terms are governed by the laws of the Kingdom of Saudi Arabia. The parties will first try to resolve any dispute in good faith within 30 days of written notice. Disputes that are not resolved fall under the exclusive jurisdiction of the competent courts in Riyadh.

22.General

These Terms, the policies they refer to and any Order Form are the whole agreement between the parties. If a provision is found invalid, the rest remains in force. A failure to enforce a right is not a waiver of it. Neither party may transfer the agreement without the other's consent, except that we may transfer it to a MARCOMENA affiliate. Notices may be sent by email, by WhatsApp or within the System. If these Terms are translated into Arabic and the versions differ, the Arabic version prevails.
